Terms of Service & Service Agreement
These Terms of Service (‘Agreement’) govern all services provided by Exodius Auto Protection Inc. (‘Exodius’) to the
customer named in the accompanying proposal (‘Customer’). By signing the proposal, paying a deposit, delivering the
Vehicle, or otherwise authorizing services, the Customer agrees to all terms below, including any service-specific addenda
applicable to the services purchased.
This Agreement contains a non-refundable deposit policy, a limitation of liability, a mandatory arbitration clause, a waiver of
jury trial, and a fee-shifting provision that may affect your legal rights. Please review carefully before signing.
1. Definitions & Scope
‘Services’ means any work performed by Exodius on the Vehicle, including paint protection film (PPF), ceramic coating, vinyl
wrap, window tint, paint correction, decontamination, and related work. ‘Vehicle’ means the motor vehicle described in the
proposal. ‘Materials’ means the films, coatings, vinyls, tints, and chemicals used in performing Services. The proposal, these
Terms of Service, and any applicable service-specific addenda together constitute the entire agreement. No verbal
representations are binding unless stated in writing.
2. Vehicle Ownership & Authorization
By authorizing Services, Customer represents they hold legal title, valid leasehold rights with authority to authorize Services,
or written authorization from the owner. Exodius may request proof of ownership. Customer agrees to defend, indemnify, and
hold Exodius harmless from any third-party claims (lessors, lienholders, co-owners, insurers) arising from Services on the
Vehicle.
3. Pre-Service Vehicle Condition & Documentation
Customer authorizes Exodius to photograph and video-record the Vehicle at intake, during Services, and at completion.
Exodius’s decision to photograph or not photograph any specific Vehicle is at its sole discretion, and the absence of
photographs is not a breach of this Agreement. These records, where taken, are Exodius’s property and serve as the
controlling documentation of Vehicle condition. Customer must disclose in writing any prior PPF, ceramic, wrap, tint, paint
correction, repaint, body work, or aftermarket modification on the Vehicle. Failure to disclose voids the Installer’s Warranty.
Pre-existing conditions (clear coat failure, paint chips, scratches, oxidation, prior repair work, etc.) may exist and may become
more visible after Services. Exodius is not responsible for pre-existing conditions and is not obligated to correct them.
Exodius’s intake photographs are the controlling record of Vehicle condition at delivery.
4. Deposits, Payment & Cancellation
Non-Refundable Deposits. A non-refundable deposit is required to secure all service appointments. The deposit reserves
shop time, installer scheduling, material allocation, and operational resources.
Deposits are non-refundable under any circumstances, including: customer cancellation for any reason; rescheduling for any
reason; failure to deliver the Vehicle on the scheduled date; change of mind; dissatisfaction with the proposal scope after
acceptance; Customer’s inability to complete payment; the Vehicle being sold or disposed of; Vehicle ineligibility discovered
after deposit; force majeure events; or any other cause whatsoever, foreseeable or unforeseeable.
At Exodius’s sole discretion, a forfeited deposit may be applied toward a future appointment. Exodius has no obligation to do
so.
Final Payment. Full payment is required before Vehicle release. Exodius may retain possession of the Vehicle until paid in
full. Late balances accrue interest at 1.5% per month (18% per year) or the maximum allowed by law. Unpaid balances may
result in a mechanic’s lien per Virginia Code Section 43-32 et seq. Customer is responsible for all costs of enforcing such lien,
including reasonable attorney’s fees.
Chargebacks. Initiating a chargeback for amounts lawfully owed is a material breach. Customer agrees to pay Exodius’s
costs of responding to and defending any chargeback, including reasonable attorney’s fees, in addition to the disputed
amount.

Customer acknowledges that vinyl wrap, PPF, ceramic coating, and window tint are not paint and have inherent
characteristics that are not defects, including: visible seams, edges, and termination points; minor dust particles or fibers
under film (unavoidable in any application environment); slight orange peel, stretch marks, or compound curves; minor lift or
relief cuts on extreme curves; visible underlying paint imperfections; color variation between coated and uncoated surfaces;
edge dirt accumulation over time; slight haze or texture differences in ceramic coatings until full cure (7-14 days); and window
tint dot matrix interference, slight bubbling during cure (30-60 days), and color variation between glass panels.
Inspection Standard. Installation quality is evaluated under normal viewing conditions: standing approximately three (3) feet
from the Vehicle in indoor lighting or natural daylight. Imperfections visible only under direct sunlight, high-intensity flashlights,
magnification, or at distances less than 18 inches are not defects unless they materially affect the function or appearance
under normal viewing conditions.
6. Unforeseen Issues & Additional Charges
Unforeseen conditions may arise during Services, including broken or brittle trim, rusted or stripped hardware, underlying
paint peeling or clear coat failure, adhesive residue from prior applications, body filler or repainted panels, electrical or
mechanical issues, or aftermarket modifications affecting standard procedures. If such conditions arise, Exodius will notify
Customer and provide an estimate before proceeding. Customer may: (a) authorize the additional work, (b) decline (Exodius
will complete Services to the extent reasonably possible and any resulting compromise is at Customer’s risk), or (c) terminate
(Customer pays for work completed and deposit remains forfeited). Certain installations carry inherent risks; for example,
Porsche headlight PPF is not warranted and may cause clear coat stripping on removal.
7. Installer’s Warranty
Exodius provides a one (1) year Installer’s Warranty on workmanship for installations at Exodius’s facility, beginning on the
date of Service completion. The Warranty covers defects directly caused by installer error, such as bubbling, peeling, or lifting
from installation technique.
Exclusions. The Installer’s Warranty does NOT cover:
• Damage from misuse, neglect, accident, collision, or vandalism
• Normal wear and tear, environmental damage, or sun fade
• Damage from automatic car washes, brush washes, or high-pressure spray within 6 inches of film edges
• Damage from improper maintenance, harsh chemicals, abrasive towels, or non-approved cleaning products
• Issues from panels vibrating or rubbing during normal driving
• Damage from rock chips, road debris, or impact events
• Damage to or caused by underlying paint (clear coat failure, oxidation, peeling)
• Materials or services supplied by Customer or third parties
• Applications to unpainted, poorly painted, repainted, or otherwise unsuitable surfaces
• Color matching between panels installed at different times
• Cosmetic concerns within the inherent material characteristics described in Section 5
Voiding the Warranty. The Warranty is automatically VOIDED by:
• Failure to disclose prior work (Section 3)
• Any work on the Vehicle by a non-Exodius party affecting the installation, including washing, polishing, or service at any
third-party shop
• Removal, modification, or repair of any portion of the installation by a non-Exodius party
• Failure to follow maintenance instructions provided at delivery
• Failure to attend required follow-up inspections (e.g., two-week PPF check-in) within the specified timeframe
• Sale, lease, or transfer of the Vehicle (warranty is non-transferable)
• Any chargeback initiated by Customer for the Services
• Material breach of any term of this Agreement
• Abusive, threatening, harassing, or defamatory conduct toward Exodius personnel, in person, in writing, or in public
reviews
Discretionary Voiding. Exodius reserves the right, at its sole discretion, to void the Warranty for cause beyond the items in
this Section where it determines, in good faith, that warranty service is being abused, misrepresented, or sought outside the
warranty’s intended purpose. Exodius will provide written notice of any such determination.

Warranty Service. All warranty claims must be submitted in writing within the warranty period, with photographs and a
description. The Vehicle must be brought to Exodius’s facility for inspection. Exodius’s sole obligation is, at its option, to repair
or replace the affected installation. Exodius is not responsible for incidental, consequential, or indirect costs (towing, lodging,
lost use, rental vehicles). The Warranty is non-transferable.
8. Manufacturer Warranty Pass-Through
Certain Materials carry separate manufacturer warranties (e.g., XPEL, Pure PPF, ceramic coating brands) independent of the
Installer’s Warranty. Exodius will provide manufacturer warranty registration information at Service completion. Customer is
responsible for registering the manufacturer warranty within the manufacturer’s required timeframe. Manufacturer warranty
claims are administered by the manufacturer.
9. Vehicle Pickup, Storage Fees & Abandoned Vehicles
Customer agrees to pick up the Vehicle within three (3) calendar days of notification that Services are complete. Vehicles not
picked up within 3 days incur a storage fee of $75 per calendar day, including weekends and holidays, until pickup. Storage
fees must be paid in full prior to Vehicle release.
Single-Point Inspection. Customer is responsible for inspecting the Vehicle at pickup. Any quality concerns must be raised
in writing within twenty-four (24) hours of pickup. After 24 hours, Customer is deemed to have accepted the Services as
completed satisfactorily, except for latent defects that could not reasonably have been discovered at pickup, which remain
subject to the Installer’s Warranty.
Abandoned Vehicles. A Vehicle unclaimed for thirty (30) days after Service completion, with notification attempts
unanswered, will be deemed abandoned. Exodius may pursue remedies under Virginia law, including sale of the Vehicle per
Virginia Code Section 46.2-644.03 to satisfy unpaid balances, storage fees, and disposition costs.
10. Customer Maintenance Obligations
Customer is responsible for maintaining the Vehicle and installed Materials per Exodius’s maintenance instructions. Customer
agrees to attend required follow-up inspections (including the two-week PPF check-in) within the specified timeframe. Failure
to follow maintenance instructions or attend required follow-ups voids the Installer’s Warranty for any condition that could
have been identified or corrected.
11. Limitation of Liability & Indemnification
Except as expressly provided in this Agreement, Exodius disclaims all warranties, express or implied, including the implied
warranties of merchantability, fitness for a particular purpose, and non-infringement.
Exodius’s total liability under this Agreement, regardless of legal theory, is limited to the total amount Customer paid Exodius
for the Services giving rise to the claim. Exodius is not liable for incidental, consequential, indirect, special, or punitive
damages, including loss of use, towing, rental costs, lost profits, or diminished value. Exodius is not responsible for paint
damage during application or removal of Materials unless the direct result of installer negligence documented within the
Single-Point Inspection window.
Customer agrees to defend, indemnify, and hold Exodius harmless from any claim arising from (a) Customer’s breach of this
Agreement, (b) misrepresentation of Vehicle ownership or authorization, (c) failure to disclose prior work, or (d) any third-party
claim related to the Vehicle not directly resulting from Exodius’s negligence.
12. Customer Behavior & Right to Refuse Service
Exodius reserves the right to refuse, suspend, or terminate Services at its sole discretion for: verbal abuse, harassment,
intimidation, or threats toward Exodius personnel; physical aggression or property damage; defamatory statements made
publicly, in writing, or in reviews during an ongoing service relationship; material misrepresentation; repeated unreasonable
demands inconsistent with industry standards and this Agreement; refusal to comply with safety protocols or reasonable
instructions; or initiating a chargeback while the Vehicle is on Exodius premises or Services are ongoing. If Services are
terminated under this Section, Customer forfeits the deposit, pays for work completed, must promptly remove the Vehicle
(subject to storage fees), and any Installer’s Warranty is voided.
13. Photo/Video Documentation & Marketing Rights
Customer grants Exodius an irrevocable, royalty-free, perpetual, worldwide license to use photographs and video recordings
of the Vehicle (excluding license plates, VINs, and personally identifying information) for Exodius’s marketing, social media,
website, advertising, training, and portfolio purposes. Photographs and videos taken for documentation or quality assurance

are Exodius’s property, may be retained indefinitely, and may be used as evidence in any dispute. If Customer prefers the
Vehicle not be used in marketing, Customer must notify Exodius in writing prior to start of Services. Documentation rights are
not waivable.
14. Dispute Resolution, Arbitration & Fee-Shifting
This section requires binding arbitration and waives your right to a jury trial or class action. Please review carefully.
Informal Resolution. Before initiating any formal dispute, Customer agrees to first contact Exodius in writing and provide
thirty (30) days to investigate and respond.
Mandatory Arbitration. Any dispute not resolved informally shall be resolved exclusively by binding arbitration administered
by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Alexandria,
Virginia, or by remote video at Exodius’s election.
Class Action Waiver. Disputes will be brought in individual capacity only, not as a plaintiff or class member in any class,
collective, consolidated, or representative proceeding.
Jury Trial Waiver. To the extent any Dispute is not subject to arbitration, both parties waive any right to trial by jury.
Fee-Shifting. The prevailing party is entitled to recover reasonable attorney’s fees, expert fees, arbitration costs, and other
reasonable expenses from the non-prevailing party.
Governing Law. This Agreement is governed by the laws of the Commonwealth of Virginia. Limitations Period. Any Dispute
must be initiated within one (1) year after the cause of action accrued, to the maximum extent permitted by Virginia law.
15. Force Majeure
Exodius is not liable for delay or non-performance caused by events beyond its reasonable control, including acts of God,
natural disasters, fires, floods, severe weather, power failures, supply chain disruptions, material shortages, labor disputes,
government action, public health emergencies, civil unrest, or war. Services will be rescheduled at the earliest reasonable
date. Force majeure does not entitle Customer to a refund of any deposit.
16. General Provisions
Entire Agreement. The proposal, these Terms, and applicable addenda constitute the entire agreement and supersede all
prior communications. Severability. If any provision is held unenforceable, the remaining provisions remain in full effect, and
the invalid provision is modified to the minimum extent necessary while preserving intent. No Waiver. Failure to enforce any
provision is not a waiver of future enforcement. Modifications. No modification is binding unless in writing and signed by an
authorized Exodius representative. Assignment. Customer may not assign this Agreement without Exodius’s written consent.
Survival. Sections 4, 7, 11, 13, and 14 survive termination or completion of this Agreement.
17. Acknowledgment & Acceptance
By signing the proposal, paying a deposit, delivering the Vehicle, or otherwise authorizing Services, Customer affirms: (a) they
have read and understood this Agreement and all applicable addenda; (b) deposits are non-refundable under any
circumstances; (c) they agree to mandatory arbitration and jury trial waiver in Section 14; (d) they agree to the limitation of
liability in Section 11; (e) they understand the Installer’s Warranty terms and voiding conditions in Section 7; (f) they authorize
photo/video documentation per Sections 3 and 13; (g) they have disclosed all prior work per Section 3; (h) they have legal
authority to authorize Services.

SERVICE-SPECIFIC ADDENDA
These addenda supplement the Master Terms above and control where they conflict for the relevant Service.
Addendum A: Paint Protection Film (PPF)
PPF requires a 7 to 14 day cure period (no washing, high heat, or high-pressure spray). PPF edges may collect dirt over time
(normal). Self-healing PPF heals minor surface scratches with heat; deep scratches penetrating the top coat are not
self-healing. PPF has a typical useful life of 7 to 10 years; yellowing, hazing, or staining beyond this period is normal aging,
not a defect. PPF cannot be installed on extreme curves or compound surfaces without visible relief cuts or seams. PPF
removal years after installation may cause clear coat damage on Vehicles with compromised paint; Exodius is not liable for
clear coat damage during PPF removal on Vehicles older than three (3) years from manufacture.
Required Two-Week Inspection. Customer must bring the Vehicle to Exodius for a complimentary inspection 14 to 21 days
post-installation to verify adhesion and address any minor lifting or bubbling. Failure to attend voids the Installer’s Warranty for
any condition that could have been identified at the inspection.
Care. Hand wash only for the first 30 days (no automatic washes). Avoid pressure washers within 6 inches of edges. Use
pH-neutral, ammonia-free, solvent-free products. Do not wax unless using PPF-safe products. Avoid trees that drop sap, fruit,
or bird waste. Do not use clay bars, polishing compounds, or abrasive products on PPF.
Addendum B: Ceramic Coating
Ceramic coating requires a 7 to 14 day cure period (no washing, avoid rain when possible, no chemicals or detergents).
Ceramic enhances appearance but does not repair existing paint defects (swirl marks, scratches, oxidation remain visible).
Ceramic provides hydrophobic and protective properties but does not prevent rock chips, contact scratches, or accident
damage. Hydrophobic property duration varies by coating tier (2, 5, or 9 years); loss beyond the manufacturer’s stated period
is normal aging. Durability depends on annual maintenance washes and inspections per manufacturer guidelines. Ceramic
can be applied over PPF, but coating longevity may be reduced versus direct application on paint.
Manufacturer Warranty Registration. Tiered ceramic coatings carry separate manufacturer warranties. Customer is
responsible for registering within the manufacturer’s required timeframe (typically 30 days). Failure to register voids the
manufacturer warranty, regardless of Installer’s Warranty status.
Care. Do not wash for 7 days. Avoid rain exposure for 24-48 hours. Use pH-neutral, ceramic-safe products only (no traditional
waxes, sealants, or polishing compounds). Hand wash with two-bucket method or touchless wash only. Schedule annual
maintenance at Exodius to maintain warranty status. Promptly remove bird waste, tree sap, road salt.
Addendum C: Window Tint
Legal Compliance. Customer is solely responsible for ensuring the requested tint level complies with all applicable laws in
the jurisdiction(s) where the Vehicle is registered and operated. Virginia state law sets specific Visible Light Transmission
(VLT) limits for different windows. Exodius will install the requested tint level. Any legal consequences of a non-compliant
installation, including citations, fines, or required removal, are Customer’s sole responsibility. Exodius is not liable for any cost
of removal or re-installation of non-compliant tint.
Window tint requires a 30 to 60 day cure period (water bubbles, haziness, and minor imperfections are normal and will resolve
as the film cures). Do NOT roll down windows for at least 3 to 5 days after installation. Most modern vehicles have a dot
matrix at the top of side windows; film cannot adhere perfectly within this dot matrix and slight gap or haze is unavoidable.
Defroster lines on rear glass may show light reflection or contour. Slight color variation between glass panels is possible due
to OEM glass tint variation. Aftermarket window-mounted devices may interfere with installation; Customer is responsible for
related complications.
Care. Do not roll down windows for 3-5 days after installation. Do not clean windows for 30 days. After cure, clean with
ammonia-free window cleaner and soft microfiber cloth only.
Addendum D: Vinyl Wrap
Vinyl wrap is not paint and will not perform identically. Visible seams, edges, and termination points are unavoidable.
Standard full vehicle wraps do NOT include door jambs, inside fender wells, hood undersides, or trunk interiors unless
explicitly contracted. Vinyl wrap has a typical lifespan of 3 to 7 years depending on color, finish, exposure, and care. Color,
finish, and texture may vary slightly between manufacturer batches; wraps performed at different times may not match
exactly. Vinyl wrap removal years after installation may cause clear coat damage, especially on Vehicles with compromised,

repainted, or aftermarket paint. Exodius is not liable for clear coat damage during wrap removal. Wraps applied over factory
paint in good condition are more reliable than wraps over repainted or aftermarket paint. Some surfaces and curves cannot be
wrapped without visible compromises.
Specific Warranty Limitations. The Installer’s Warranty for vinyl wrap does NOT cover: lifting on extreme curves, edges, or
recesses; failure on repainted or aftermarket panels; color shift, fade, or chalking from UV exposure beyond the
manufacturer’s stated period; damage from automatic car washes; damage from improper Customer or third-party removal.
Care. Hand wash only (no automatic washes). Use pH-neutral products only. Do not pressure wash within 12 inches of edges
or seams. Avoid prolonged direct sun when possible. Do not wax matte or satin finish wraps. Promptly remove bird waste,
tree sap, gas spills, bug residue.
